Acceptance of Terms

These terms of service are entered into by and between you and Delve Deep Learning Inc. (“Delve,” "Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms”), govern your access to and use of Readout by Delve (the “Service”), an AI-powered subscription email briefing service, including any content, functionality, and features offered through the Service, whether accessed via our website, email, or any other delivery method we may make available.

Please read these Terms carefully before subscribing to or using the Service. By subscribing to the Service, clicking to accept these Terms, or otherwise accessing or using the Service, you accept and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not subscribe to or use the Service.

The Service is offered and available to users who are 18 years of age or older and are capable of forming a binding contract. By using the Service, you represent and warrant that you meet these eligibility requirements.

The Service

Readout by Delve is a subscription service that delivers personalized AI-generated briefings summarizing policy, legislative, regulatory, and news content relevant to your stated interests. Briefings are delivered via email on a regular basis, or via alternative delivery options (such as mobile application, text message, or other messaging platforms) that may be made available in the future.

The Service synthesizes content from two sources: (a) publicly available newsletters, news, legislative, regulatory, and other sources that Delve independently ingests; and (b) newsletters or other delivered content that you forward to a unique Delve email address assigned to your account. By forwarding newsletters to your assigned Delve address, you authorize us to receive, process, and synthesize that content solely on your behalf. You represent that you have the right to receive the newsletters and other delivered content you forward and that forwarding them for your personal use does not violate any applicable terms of service or law. You are solely responsible for ensuring that any content you forward does not breach third-party subscription terms, confidentiality obligations, or intellectual property rights.

Subscriptions, Billing, and Cancellation

The Service is offered on a subscription basis. We may offer multiple subscription tiers with varying features and pricing. Current subscription options, pricing, and included features are described on our website and may be updated from time to time.

We may offer a free trial period for new subscribers. If you sign up for a free trial, you may be required to provide valid payment information. Unless you cancel before the end of the free trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable subscription fee. You are responsible for canceling before the trial ends if you do not wish to be charged.

  • Subscriptions automatically renew for successive periods (monthly or annually, depending on your selected plan) unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period, and you will continue to have access to the Service until that time. We do not provide refunds or credits for partial subscription periods.
  • You may also request deletion of your account and associated data at any time by contacting us as detailed in our Privacy Policy. Upon account deletion, your access to the Service will terminate immediately, and we will process your data deletion request in accordance with our Privacy Policy.
  • We may change subscription pricing at any time. Any price changes will apply to billing periods beginning after the date of the change. We will provide reasonable advance notice of any price increases.
  • Your subscription is subject to applicable automatic renewal, cancellation, and disclosure laws. All billing, renewal, cancellation, and price-change practices described in these Terms are provided in accordance with such laws.

Account Security

To access the Service, you must create an account and provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to disable any account at any time if, in our opinion, you have violated any provision of these Terms.

Personal Use Only; Restrictions

The Service is licensed for your personal, non-commercial use only. You may share individual briefings with others in the ordinary course (for example, occasionally forwarding an email to a colleague), but you may not:

  • Redistribute, republish, or systematically share briefings absent a separate agreement with us;
  • Use the Service on behalf of, or for the benefit of, any organization or third party without a separate agreement with us;
  • Share your account credentials or allow others to access your account;
  • Reverse engineer, decompile, or attempt to extract the underlying algorithms, models, or source code of the Service;
  • Use the Service in any way that violates applicable law or regulation; or
  • Use any automated means to access the Service or collect data from it absent a separate agreement with us or as enabled by us directly by the Service.

Intellectual Property

The Service, including all software, algorithms, models, designs, and other technology used to deliver it, is owned by Delve and is protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service. The Delve name, logo, “Readout,” and related marks are trademarks of Delve.

The briefings delivered through the Service are AI-generated syntheses of third-party content. Where applicable, briefings include links and citations to source materials. Delve does not claim ownership of the underlying third-party content that is summarized.

AI-Generated Content; No Professional Advice

The briefings provided through the Service are generated by artificial intelligence. While we implement measures to promote accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You should independently verify any information before relying on it for important decisions.

The Service provides informational summaries only. Nothing in the briefings constitutes legal, financial, political, or other professional advice. The Service is not a substitute for professional judgment or independent research.

Briefings may include links to third-party websites, articles, and other materials. These links are provided for your convenience and reference. We have no control over and assume no responsibility for the content, accuracy, or practices of any third-party sites or resources. The inclusion of any link or citation does not imply completeness, endorsement, or verification of the linked or cited content.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe you have violated these Terms. You may cancel your subscription at any time as described above. Upon termination, your right to access the Service will cease immediately.

Changes to the Service and Terms

We may modify, suspend, or discontinue the Service (or any part of it) at any time. We may also revise these Terms from time to time. Changes will be effective when posted, and your continued use of the Service after any changes constitutes acceptance of those changes. We will provide reasonable notice of material changes.

Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection, use, and disclosure of information as described in the Privacy Policy.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DELVE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, DELVE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY CONTENT PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR CURRENT. YOU ACKNOWLEDGE THAT BRIEFINGS ARE GENERATED BY AI AND MAY CONTAIN ERRORS OR INACCURACIES.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DELVE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, DELVE’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DELVE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Delve and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including any intellectual property rights; or (d) any content you forward to the Service.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Delve regarding the Service and supersede any prior agreements.
